Terms of service

Summary in English. The French version (conditions générales de prestation) is the binding text. The signed quote prevails over these terms.
1. Parties
Services are provided by Sacha Ruer EI (entrepreneur individuel, French sole proprietorship; registered trade name Kryva), freelancing as Sacha Praljak, SIREN 102 412 780, to business clients only.
2. Quote and order
Each engagement has a quote (deliverables, schedule, price), valid 7 days. The order is firm once the quote is signed and the deposit paid.
3. Prices
- VAT not applicable, article 293 B of the French General Tax Code: no VAT is added.
- Diagnostic + prototype: €1,500. Claude agent in production: from €6,500 (launch price €4,900 for the first two clients, in exchange for a testimonial and case study). Maintenance: €300–500 / month.
- The firm price is set in the quote according to scope. Third-party costs (AI APIs, telephony, hosting) are paid by the client unless stated otherwise.
4. Payment
- Fixed-price work: 50% deposit on order, balance on delivery. Monthly maintenance: invoiced at the start of each month. Each invoice states its due date.
- Late payment: from the day after the due date, interest at the ECB refinancing rate plus 10 percentage points, plus a €40 fixed recovery fee and further compensation if costs are higher (French Commercial Code L.441-10, D.441-5).
5. Delivery and acceptance
The client has 7 days after delivery to report specific issues in writing; otherwise delivery is deemed accepted. In-scope defects are fixed free of charge for 14 days.
6. Intellectual property
On full payment, I assign to the client, exclusively, the economic rights in deliverables built specifically for them (source and object code, documentation, reports): reproduction, representation and distribution, adaptation and modification, commercialisation, and sublicensing — for any use related to the client's business, worldwide, for the full term of copyright. Pre-existing tools and know-how remain mine, with a free, non-exclusive, worldwide licence to use them within the deliverables. I only list a client as a reference with written consent.
7. AI and third-party services
Agents rely on third-party services (e.g. Anthropic, OpenAI, Vapi, Stripe) outside my control. AI output can be wrong; human approval on sensitive actions is set up as quoted. The client remains responsible for its use of the deliverables and its own compliance (GDPR, EU AI Act transparency). Where I process personal data on the client's behalf, we sign a GDPR art. 28 processing agreement.
8. Liability
Best-efforts obligation. Liability limited to proven direct damages, capped at the amount paid for the engagement concerned (last 3 months for monthly maintenance). No liability for indirect losses.
9. Term and law
Monthly maintenance can be cancelled by either party by email, effective at the end of the current month. French law applies. After an attempt at amicable settlement, disputes with clients acting as traders (commerçants) go exclusively to the commercial court with jurisdiction over Narbonne, France; otherwise statutory jurisdiction rules apply.
